The Rio Grande do Sul-based company joins the portfolio and opens a new business front dedicated to governance, compliance and HR solutions; Starian steps up its M&A pace, targeting both the consolidation of its current verticals and entry into new high-potential segments
Florianópolis, December 2025 – Starian, a company of specialized software for the Construction Industry, Legal Intelligence and Operational Efficiency segments, has just announced its new business unit. With the acquisition of Contato Seguro, the national leader in corporate whistleblowing channels (whistleblowing software), the company strengthens its vertical SaaS ecosystem strategy by investing in governance and compliance. This is its second M&A move since the brand was announced in June and the R$ 640 million investment received from General Atlantic in August.
The acquisition was completed after a detailed analysis of Contato Seguro’s performance, positioning and operational consistency. “The company’s established leadership, combined with market growth driven by new legal requirements, supported our decision. The solution applies Artificial Intelligence in line with our pillar of operating as an AI First company and expands the capabilities of our current verticals,” says Ionan Fernandes, CEO of Starian. With more than 35 years in the private sector, Starian expects to close 2025 with R$ 520 million in net operating revenue and 22,000 clients.
Contato Seguro operates on a subscription-based SaaS model. The new vertical starts with 3,000 clients and brings together proprietary technology, multichannel service (website, app and toll-free number), advanced generative AI features for analyzing reports, and complementary services such as support from psychologist-ombudspersons and lawyers, real-time management reports and integrations unique in the market. With more than 17 years of history and a CAGR of around 35% over the last three years, the company expects to close 2025 with net revenue above R$ 65 million, a 39% increase over the previous year.
According to Diego Galvão, CEO of Contato Seguro, the acquisition marks a strategic milestone for the business. “This move strengthens our solution and expands our delivery capacity. We are starting a new stage of the business and are very happy to join Starian, a company whose software is a benchmark in its segments, as well as to have General Atlantic on board, which reinforces business expertise and vision. This was undoubtedly decisive for our decision, as it shows there is fertile ground to scale our operation,” he says.
The acquisition took into account the synergy Contato Seguro creates across the portfolio. According to Alex Anton, CSO of Starian, the newly acquired company joins with 18% of its client base shared with the other solutions in the portfolio. “Starian maintains an active expansion strategy through M&A, continuously evaluating targets that complement its verticals. We have defined governance, structured processes and the financial capacity to keep investing in assets that generate scale and synergy within and across verticals,” he states.
The Governance and Compliance vertical will be led by Contato Seguro, operating alongside the Construction Industry (Sienge Ecosystem), Legal Intelligence (Projuris Ecosystem) and Operational Efficiency (Checklist Fácil and Runrun.it) units.
* The acquisition of Contato Seguro is a transaction still subject to approval by CADE (Brazil’s antitrust authority)
